Terms and Conditions
Welcome to Big Masterz Africa! By accessing or using our services, you agree to be bound by the following terms and conditions.
These terms apply to all artists, producers, and rights holders working with Big Masterz Africa for music distribution and publishing administration.
1. Definitions
– The Company refers to Big Masterz Africa.
– Artist refers to any individual, group, or entity using our services for distribution or publishing administration.
– Content refers to any musical works, compositions, or sound recordings owned or controlled by the Artist.
– Term refers to the duration of the contractual agreement between the Company and the Artist.
2. Agreement to Terms
By signing up for our services, the Artist agrees to comply with these terms and conditions, as well as any amendments that may be made from time to time.
3. Contract Term
– The minimum duration for all contracts with Big Masterz Africa is three (3) years.
– The contract will automatically renew for additional one-year periods unless either party provides written notice of termination at least 12 months written notice before the expiration of the current term.
– If the Artist wishes to terminate the contract before the three years, they may be subject to early termination fees and a loss of revenue rights during the remainder of the term.
4. Rights Granted
By agreeing with Big Masterz Africa, the Artist grants the following rights to the Company:
– Exclusive Rights to distribute, sell, and license their music through all digital platforms and physical mediums.
– Publishing Administration rights, allowing Big Masterz Africa to administer the rights and royalties associated with the Artist’s music.
Big Masterz Africa will act as the Artist’s exclusive distributor and publishing administrator during the term of the agreement.
5. Revenue and Royalty Payments
– Big Masterz Africa will collect revenue from the distribution and publishing of the Artist’s content.
– Royalties will be paid quarterly, within 30 days of the end of each calendar quarter.
Big Masterz Africa will distribute the Artist’s content to all major digital platforms, including but not limited to:
– Apple Music
– Spotify
– YouTube
– Tidal
– Amazon Music
Plus more than 300 music stores globally.
7. Content Ownership
– The Artist retains full ownership of their content. Big Masterz Africa only acquires the rights necessary to distribute and manage royalties for the content.
– The Artist must ensure that all content submitted to Big Masterz Africa does not infringe on any third-party rights, including copyrights, trademarks, and intellectual property rights.
8. Marketing and Promotion
Big Masterz Africa may engage in marketing and promotional activities on behalf of the Artist. However, the Artist is encouraged to participate in the promotion of their content.
9. Termination
– Either party may terminate the contract after the three-year minimum term by providing 12 months’ written notice.
– In the event of a breach of the terms by either party, the other party may terminate the agreement with immediate effect.
– Upon termination, Big Masterz Africa will cease all distribution of the Artist’s content within 360 days, and the Artist’s rights will revert to them in full.
10. Dispute Resolution
In the event of a dispute, both parties agree to first attempt resolution through mutual negotiation. If a resolution cannot be reached, the matter will be referred to arbitration in Kenya.
11. Governing Law
These Terms and Conditions shall be governed by the laws of Kenya. Any legal disputes will be handled within the jurisdiction of Kenyan courts.
12. Amendments
Big Masterz Africa reserves the right to modify or update these terms at any time. Artists will be notified of any significant changes in writing.
